1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "User," "Client") and WEHEAL, Inc. ("WEHEAL," "ConnectionDocs," "we," "us," or "our") governing your access to and use of ConnectionDocs.com (the "Site") and the educational, coaching, consulting, and medical services offered through it (collectively, the "Services").

By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services and exit the Site immediately.

If you are using the Services on behalf of another person (including a minor family member), you represent that you have the legal authority to bind that person to these Terms.

2. Eligibility

The Services are primarily intended for adults aged 18 and older. In our sole discretion, we may provide services to minors only within a family care context and only with the involvement and verifiable consent of a parent or legal guardian. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and complete.

3. Description of Services

ConnectionDocs offers a hybrid model of services:

  • Educational Services: online courses, written materials, videos, and other educational content regarding cancer diagnoses, treatment options, and related wellness topics.
  • Non-Medical Consulting & Coaching: one-on-one or group consulting, navigation support, and coaching provided by non-physician team members.
  • Medical Services: clinical care delivered by licensed physicians affiliated with WEHEAL, subject to applicable licensing and regulatory requirements in your jurisdiction.

As part of our integrated care model, members of your care team (physicians, coaches, and support providers) may share information with one another to coordinate and support your care, as described in our Privacy Policy and, where applicable, in a separate Notice of Privacy Practices.

4. Important Medical Disclaimer

READ CAREFULLY.

Educational and coaching services are not medical advice. Courses, coaching, and consulting content provided by non-physicians are for informational and educational purposes only. They do not constitute medical advice, diagnosis, or treatment and should not be used as a substitute for consultation with a qualified healthcare provider.

Medical services are provided only by licensed physicians through a clearly identified clinical engagement, subject to a separate informed-consent process, clinical intake, and (where applicable) a Notice of Privacy Practices. A physician-patient relationship is established only upon mutual written agreement and completion of the clinical intake process.

No guarantee of outcome. Cancer care and health outcomes depend on many factors. We do not guarantee any specific result, cure, remission, or improvement.

Emergencies. The Services are not designed for medical emergencies. If you are experiencing a medical emergency, call 911 (in the U.S.) or your local emergency number immediately.

Continue working with your existing providers. Nothing in the Services is intended to replace your relationship with your primary oncologist, primary care, or other treating physicians.

5. Accounts and Registration

To access certain Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your login credentials
  • Notify us promptly of any unauthorized use of your account
  • Accept responsibility for activity occurring under your account

We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently or unlawfully.

6. Fees, Payments, and Refunds

6.1 Fees

Fees for courses, coaching, consulting, and medical services are disclosed at the time of purchase or engagement. All fees are quoted in U.S. dollars unless otherwise stated and are exclusive of applicable taxes. We do not accept any insurance plans or payors and You agree that You are solely responsible for all fees associated with the Services.

6.2 Payment Processing

Payments are processed through Stripe or a comparable third-party processor. By providing payment information, you authorize us (and our processor) to charge the applicable fees and represent that you are authorized to use the payment method.

6.3 Subscriptions and Recurring Billing

Where Services are offered on a subscription basis, your subscription will automatically renew at the end of each term unless you cancel before the renewal date. You authorize Us to store and charge Your payment method at the time of renewal. You can cancel at any time via your account or by contacting us. Cancellation is only effective once We confirm in writing to You that We have received your request.

6.4 Refunds

  • Online courses: Unless otherwise stated at purchase, course fees are non-refundable once course content has been paid for. A specific refund window, if offered, will be stated on the course sales page.
  • Coaching / consulting: Refund eligibility for pre-paid coaching or consulting packages will be governed by the engagement agreement you receive at signup and as determined by Us.
  • Medical services: Refunds for medical services are handled in accordance with the clinical engagement terms and applicable law.
  • Chargebacks: Please contact us before initiating a chargeback. Unjustified chargebacks may result in suspension of Services and collection of amounts owed.

7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose
    Impersonate another person or misrepresent your affiliation
  • Upload malicious code or interfere with the Site's operation
  • Attempt to access accounts, data, or systems without authorization
  • Scrape, harvest, or reverse-engineer the Site or Services
  • Record or redistribute coaching sessions, consultations, or course content without our prior written consent
  • Share login credentials or course access with others
  • Use the Services to harass, threaten, or harm others
  • Post or transmit content that infringes others' rights, including intellectual property or privacy rights
  • Use AI systems, bots, or automated tools to access the Services except as expressly permitted

We may investigate suspected violations and take appropriate action, including suspending or terminating access.

8. User Content

You may submit information, documents, messages, and other materials ("User Content"), including medical records and health information, in connection with the Services.

You retain ownership of your User Content.
License to us. You grant WEHEAL a limited, worldwide, non-exclusive, royalty-free license to use, store, reproduce, and process User Content solely as necessary to provide the Services, coordinate your care, operate and improve the platform, and comply with legal obligations.

Accuracy. You represent that User Content you submit is accurate to the best of your knowledge and that you have the right to share it with us.

Sensitive/health information is handled in accordance with our Privacy Policy and, where applicable, HIPAA and our Notice of Privacy Practices.

9. Intellectual Property

All content on the Site and within the Services — including courses, videos, written materials, graphics, logos, trademarks, software, and the ConnectionDocs and WEHEAL names — is owned by or licensed to WEHEAL and is protected by U.S. and international intellectual property laws.

You are granted a limited, personal, non-transferable, non-sublicensable, revocable license to access and use the Services and course content for your own personal, non-commercial use. You may not copy, distribute, publicly display, modify, create derivative works from, sell, or commercially exploit any part of the Services without our prior written permission.

10. Third-Party Services

We use and integrate with third-party platforms including, but not limited to, Google Workspace, Kajabi, Zoom, Cal.com, GoHighLevel, Stripe, and certain AI tools. Your use of those platforms may also be subject to their respective terms and privacy policies. We are not responsible for third-party services, and their availability is not guaranteed.

We may use AI tools to support clinical research, content development, and administrative functions. We take reasonable steps to avoid inputting identifiable protected health information into consumer-grade AI tools and use de-identified information or tools configured with appropriate privacy protections where applicable.

11. Telehealth and Jurisdictional Limitations

Medical services are provided only in jurisdictions where our affiliated physicians are licensed and where telehealth is legally permitted. Some Services may be unavailable, limited, or modified based on your location.

International clients: Educational and non-medical services are generally available internationally, subject to local law. Medical services for clients located outside the United States may be limited or unavailable depending on licensing and regulatory requirements; we will discuss any applicable constraints before beginning a medical engagement.

12. Privacy and HIPAA

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference. For services covered by HIPAA, our Notice of Privacy Practices governs the use and disclosure of Protected Health Information and will be provided to you separately.

13. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.
We do not warrant that the Services will meet your requirements, be error-free, secure, or available at all times. Educational content reflects general information and may not apply to your individual circumstances.

This section does not limit any warranties that cannot be disclaimed under applicable law, including consumer-protection laws in your jurisdiction.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WEHEAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Nothing in these Terms limits liability for: (i) gross negligence, fraud, or willful misconduct; (ii) professional medical liability of licensed physicians to the extent not permitted to be limited by law; or (iii) any other liability that cannot be limited or excluded under applicable law.

15. Indemnification

You agree to defend, indemnify, and hold harmless WEHEAL and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) User Content you submit. This section does not apply to the extent prohibited by applicable law.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms, creates risk or legal exposure, or is otherwise inconsistent with our mission. You may stop using the Services at any time and may request deletion of your account through the contact information below, subject to medical-records retention and other legal obligations described in our Privacy Policy.

Sections that by their nature should survive termination (including Sections 8, 9, 12–15, and 17–19) will survive.

17. Dispute Resolution; Governing Law

17.1 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The federal and state courts located in Osceola County, Florida, will have exclusive jurisdiction over any disputes not subject to arbitration, and you consent to personal jurisdiction and venue there.

17.2 Informal Resolution

Before filing a formal claim, you agree to first attempt to resolve the dispute by contacting us at [email protected] (or another address we designate) and allowing at least 60 days for good-faith resolution.

17.3 Binding Arbitration (U.S. Users)

Except for claims that may be brought in small-claims court or claims for injunctive relief related to intellectual property, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Osceola County, Florida, or via remote proceedings. Each Party shall bear its own costs and fees associated with such Arbitration. 

17.4 Class Action Waiver

You and WEHEAL agree that disputes will be brought on an individual basis only, and not as a class, collective, or representative action. If this waiver is found unenforceable, the arbitration agreement will be void as to that claim only, and that claim will proceed in court.

17.5 Opt-Out

You may opt out of the arbitration and class-action waiver provisions by sending written notice to [email protected] within 30 days of first accepting these Terms.

17.6 Non-U.S. Users

If mandatory local law gives you the right to bring claims in your country of residence or to the jurisdiction of local courts, nothing in this section limits that right.

18. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms with a new "Last Updated" date and, where appropriate, by email or in-Service notice. Your continued use of the Services after changes become effective constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Services.

19. Miscellaneous

Entire Agreement. These Terms, the Privacy Policy, any Notice of Privacy Practices, and any engagement or course-specific agreements constitute the entire agreement between you and WEHEAL regarding the Services.

Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control that may limit our ability to provide access to the Site or delivery of the Services.

Notices. We may provide notices via the Site, email, or other reasonable means. Notices to us should be sent to the address below.

20. SMS / Text Messaging Program

20.1 Description of SMS Program

ConnectionDocs offers an SMS text messaging program to support your engagement with the Services. By opting in, you may receive text messages related to one or more of the following:

  • Appointment and consultation reminders
  • Care coordination updates and follow-up notifications
  • Course enrollment confirmations, progress reminders, and access links
  • Scheduling confirmations and changes
  • Responses to questions or requests you submit via text
  • Service announcements, new program offerings, and promotional communications
  • Free educational content, guides, and resource links

Messages are sent using GoHighLevel on behalf of WEHEAL, Inc. dba ConnectionDocs. Message frequency varies based on your engagement with the Services and the types of communications you have opted in to receive. Opting in to receive SMS messages is not a condition of purchasing any service, enrolling in any course, or receiving medical care.

20.2 How to Opt Out

You may opt out of ConnectionDocs text messages at any time by replying STOP to any message you receive from us. You will receive a single confirmation message acknowledging your opt-out, and no further messages will be sent unless you re-subscribe. You may also opt out by emailing [email protected] or calling (213) 458-5360.

Opting out of SMS does not affect your enrollment in any course, your access to medical or coaching services, or any other aspect of your relationship with ConnectionDocs. We may still contact you via email or other non-SMS channels for service-related communications.
For help with the text messaging program, reply HELP to any message or contact us using the information in Section 21.

20.3 Message and Data Rates

Standard message and data rates may apply to messages sent to and received from ConnectionDocs, depending on your mobile carrier and wireless plan. ConnectionDocs is not responsible for any fees charged by your carrier. Check with your wireless provider if you have questions about your plan's messaging costs.

20.4 Carrier Liability Disclaimer

Text message delivery is subject to effective transmission by your mobile carrier. ConnectionDocs and its SMS service providers do not guarantee message delivery and are not responsible for delayed, undelivered, or misdirected messages caused by carrier network issues, device incompatibility, system outages, or other factors outside our control.

Mobile carriers, including but not limited to T-Mobile, AT&T, Verizon, and their affiliates, are not liable for the content, accuracy, timeliness, or delivery of any text messages sent through the ConnectionDocs SMS program. No carrier endorses or is responsible for the Services described in these Terms.

21. AI Coach Disclaimer

To make sure expectations are clear and this space remains safe and supportive, please review and acknowledge that by using any of our AI Coaches, you understand and agree to the following:

The Connection Docs AI Coaches are AI-assisted tools designed to support self-awareness, reflection, and day-to-day decision-making. They are intended for educational and informational purposes only.

These AI Coaches do not provide medical advice, diagnosis, or treatment, and they do not constitute psychological or therapeutic care. Nothing shared through these tools should be interpreted as personalized medical, nutritional, psychological, or legal advice.

Use of these AI Coaches is entirely voluntary. Any actions you take based on your interactions are your own responsibility and are undertaken at your own discretion and risk.

These tools are not a substitute for professional care. If you have questions or concerns related to your health—physical or mental—you should consult a qualified healthcare professional.

If you are experiencing a medical or mental health emergency, or are at risk of harm to yourself or others, please contact emergency services or your local crisis resources immediately.

The AI Coaches are delivered using third-party artificial intelligence platforms, including ChatGPT. Access to coaching sessions may require a separate account or subscription with these third-party providers. Connection Docs does not control, operate, or guarantee the availability, performance, accuracy, or reliability of any third-party AI platform.

While these tools are designed to be supportive and grounded in our frameworks, we do not guarantee any specific results, outcomes, insights, or benefits from their use.

By using these AI Coaches, you acknowledge and agree that Connection Docs, its physicians, team members, and affiliates are not liable for any decisions, actions, or outcomes resulting from your use of these tools.
